A form of partnership where the parties agree to work collaboratively to research, develop and often commercialize compounds, patents, or technology, under defined conditions.

A form of partnership where the parties agree to work collaboratively to research, develop and often commercialize compounds, patents, or technology, under defined conditions.

Collaborative R&D is governed by a written agreement entered into by the contractual owner of a property or activity giving permission to another to use work collaboratively on the property or engage in an activity in relation to that property. The property involved in the agreement can be a product, technology or intellectual.

Almost always, there will be some consideration exchanged between the parties.

In the first instance, this will take the form of funding payments to enable the research and development to proceed.

The objective of any collaborative R&D activity is normally commercialization of the R&D outcomes. This is normally in the form of a licensing arrangement.

Consideration normally takes the form of payments such as:

  • Upfront payment - normally payable to the licensor upon signing of the licensing agreement
  • Milestone payment(s) - payable upon achievement of pre-agreed development and commercialisation stages, for example, commencement of phase II clinical trial
  • Royalty payments - payable in the form of a percentage of sales of a product covered by the patents within the scope of the licensing agreement

An example of the simple collaborative R&D agreement would be: Collaboration agreement for iPSC derived human cell based drug discovery between AstraZeneca and Cellular Dynamics International.

An example of a more complex agreement where collaborative R&D forms part of a wider agreement would be: Collaborative R&D and licensing agreement for gene therapy products between Regeneron and Avalanche.
