Manufacturing is the production of goods for use or sale using labor and machines, tools, chemical and biological processing, or formulation.The term may refer to a range of human activity, from handicraft to high tech, but is most commonly applied to industrial production, in which raw materials are transformed into finished goods on a large scale.

Such finished goods may be used for manufacturing other, more complex products, or sold to wholesalers, who in turn sell them to retailers, who then sell them to end users.

In the pharmaceutical, biotech and life sciences sector, and deal making in particular, manufacturing is often the subject of a contractual agreement between two or more parties, where the one party wishes to have a product manufactured and the other party is able to manufacture said product.

Subsequent to manufacturing is often the process of 'supply' of the product to the partner company.

There are commonly two types of manufacturing agreement:

  • Contract manufacturing agreement - a stand alone agreement whereby one party out sources it manufacturing requirements to a specialist manufacturing company.
  • Manufacturing as part of a wider agreement - manufacturing may form part of a wider agreement, where for example one party is seeking to license in a technology or product from another party, but in order to facilitate the commercialization of the technology/product, the licensor manufactures product for supply to the licensee to allow clinical evaluation and/or commercialization.
