No presumption

A term to ensure both parties agree that the clauses and provisions within the agreement are agreed between the parties and that both parties have been involved in the drafting of the agreement.

Non compete

Clause in contract to ensure the parties will not directly compete. The terms of such clauses need to be reasonably limited in scope and duration, so as to not fall foul of competition legislation. A non-compete clause may include but not be limited to employee solicitation, disclosure of trade secrets, marketing and selling of product.

Net sales

Gross product sales minus agreed deductions. Specified deductions may include sales returns, credits, taxes, cost of goods, marketing costs etc. Net sales is a key term in ensuring that the correct revenues are paid to the licensor.
