Non-Disclosure Agreement (NDA)

Description
A non-disclosure agreement (NDA or confidential disclosure agreement, CDA) is an agreement between two or more parties to ensure non-disclosure of confidential information exchanged between the parties.
An NDA may be one-way or two-way agreement.
An NDA should include the following:
- what information is to be protected
- how the information may be used and by whom
- how the information will be kept secret
- the period under which the terms of the agreement will remain in force
- what dispute resolution process to be used in the event of misues of the information
