Description
A pre-agreement document that outlines the key elements and structure of the planned deal.
This may be a legally binding agreement. If it is not intended to be binding, make this clear on the document.
It is more common to complete a non-binding termsheet that may be used as confirmation of the key terms discussed and agreed in principle and as a briefing document to instruct lawyers.
